These Terms of Service ("Terms") govern your access to and use of the Booked By Friday ("BBF," "we," "us," or "our") website, services, and related features (collectively, the "Services"). By accessing or using our Services, you expressly agree to comply with these Terms.

1. Eligibility

You represent that you are at least 18 years old and possess the authority to enter into these Terms on behalf of yourself or the entity you represent.

2. Services Provided

BBF offers qualified leads for accounting and bookkeeping professionals by matching client needs with relevant service providers. Our Services include, but are not limited to:

• Lead delivery and management
• Tailored client matching
• Marketing communications regarding BBF services and third-party offers

Unless explicitly stated otherwise in writing, BBF does not guarantee exclusivity of leads. Leads may be designated as "exclusive," "shared," or part of a "bulk bundle" depending on the plan or purchase selected. Exclusive leads are provided to one subscriber only; shared leads may be provided to up to three subscribers; and bundled or aged leads may be sold without exclusivity limitations. Lead type details will be disclosed at the time of purchase. Leads may be sold to multiple professionals depending on the lead type or plan purchased.

3. Account Security

You must provide accurate information when creating an account and maintain the confidentiality of your credentials. Immediately notify us of any unauthorized access. You accept responsibility for all activities under your account.

4. User Responsibilities

You agree to:

• Use leads and data provided by BBF responsibly, ethically, and in compliance with all applicable laws, including but not limited to the Telephone Consumer Protection Act ("TCPA"), CAN-SPAM Act, and applicable privacy and data protection regulations.
• Ensure compliance with TCPA regulations, including but not limited to avoiding unsolicited autodialed calls or texts, prerecorded messages, or other communication methods without prior express written consent where required. Misuse or unauthorized redistribution of leads includes, but is not limited to:
• Sharing leads with non-subscribers
• Reselling leads to third parties not authorized by BBF
• Using leads in connection with unrelated services
• Contacting leads in a manner that violates legal or ethical guidelines when contacting leads provided by BBF, including obtaining necessary consents where applicable.
• Not misuse, redistribute, or resell leads beyond the scope explicitly permitted by your subscription or purchased plan.

5. Subscription, Fees, and Payments

• Our Services are available via subscription plans clearly detailed during registration.
• Payments must be made in advance using valid payment methods. Subscriptions auto-renew unless canceled before the renewal date.
• Pricing is subject to change, with advance notification provided via email or platform alerts.

6. Data Usage and Resale

• Collect, use, and resell the data you provide through our website or via third-party platforms such as Meta for commercial purposes, including marketing, lead generation, and resale to relevant third-party businesses.
• Retain your data for as long as it is necessary to fulfill the purposes outlined in this agreement, or as required by law.
• Honor requests for data deletion and allow you to opt out of future resale by contacting support@bookedbyfriday.com and submitting a verifiable request.
• Share your data with partners, affiliates, and third parties for legitimate business purposes, subject to data privacy laws and BBF’s privacy policy.

7. Termination

We reserve the right to immediately terminate or suspend your access, without prior notice, for violations of these Terms or any misconduct, including misuse of leads or non-compliance with legal obligations.

8. Intellectual Property

All content, trademarks, logos, proprietary methodologies, and materials provided by BBF remain our exclusive property. You are granted a limited, non-transferable license to use such materials exclusively for your internal business purposes.

9. Confidentiality

You agree to maintain the confidentiality of leads, client data, and proprietary BBF information. You must not disclose, distribute, or misuse such information outside your authorized personnel or for any unauthorized purposes.

10. Disclaimer of Warranties

Our Services are provided "as is" and "as available." BBF expressly disclaims all warranties, explicit or implied, concerning lead accuracy, conversion rates, or performance outcomes.

11. Limitation of Liability

BBF and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or relating to your use or inability to use our Services. Our total liability shall be strictly limited to the amount you have paid BBF during the twelve months preceding the event giving rise to the claim. BBF is not responsible for any actions taken by users based on the accuracy, completeness, or usefulness of lead data provided through the Services. BBF is not responsible for any actions taken by users based on the accuracy, completeness, or usefulness of lead data provided through the Services. have paid BBF during the twelve months preceding the event giving rise to the claim.

12. Indemnification

13. Changes to Terms

We reserve the right to modify these Terms at our discretion. Notification of significant changes will be provided via email and dashboard alerts at least 30 days before the changes take effect. Continued use after notification constitutes your acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the state of California without regard to conflict-of-law principles. Any disputes will be exclusively resolved in the courts located in California.
